1. Agreement to Terms

By accessing or using Lode Leads ("Service"), operated by MatchNApply LTD ("Company", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service. The Service is available at lodeleads.com and app.lodeleads.com.

2. Service Description

Lode Leads is an AI-powered lead generation and qualification platform. The Service searches publicly available data across multiple platforms (including LinkedIn, Google Maps, TikTok, Instagram, Facebook, Twitter/X, Reddit, and YouTube), applies automated scoring, and provides tools for lead management, export, and AI-assisted campaign creation.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Account Registration and Security

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately at support@lodeleads.com if you suspect unauthorised access.

5. Credits, Pricing, and Payments

The Service operates on a credit-based model. Credits are purchased in packs and consumed when executing campaigns. Seat subscriptions are billed monthly.

• Credit prices and consumption rates are displayed before you run a campaign. By confirming a campaign run, you authorise the corresponding credit deduction.
• Credits are reserved before a campaign executes and settled upon completion. Unused reserved credits are refunded to your balance.
• Purchased credits do not expire while your account remains active.
• We reserve the right to adjust pricing with 30 days' notice. Existing credit balances are not affected by price changes.
• Refunds for credit purchases are handled on a case-by-case basis. Contact support within 14 days of purchase.

6. Acceptable Use

You agree not to:

• Use the Service to send unsolicited bulk messages (spam) or violate anti-spam laws (CAN-SPAM, PECR, GDPR)
• Scrape, resell, or redistribute lead data obtained through the Service to third parties as a standalone dataset
• Attempt to circumvent credit consumption, rate limits, or access controls
• Use the Service for any purpose that violates applicable laws or the terms of the underlying data platforms
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Impersonate another person or entity when using the Service

Violation of these terms may result in immediate account suspension or termination without refund.

7. AI-Generated Content and Scores

The Service uses artificial intelligence to score leads, generate qualification assessments, and power the conversational agent. AI-generated outputs are advisory and may contain inaccuracies. You are responsible for verifying any information before making business decisions based on it. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

8. Third-Party Platforms and Data

The Service retrieves publicly available data from third-party platforms. We are not affiliated with LinkedIn, Google, Meta, TikTok, X Corp, Reddit, or YouTube. You acknowledge that:

• Data availability depends on third-party platform policies and may change without notice
• You are responsible for complying with the terms of service of any platform whose data you access through the Service
• We do not guarantee uninterrupted access to any third-party data source

9. Google Sheets Integration

If you authorise Google Sheets integration, the Service will write lead data to spreadsheets you specify. We access only the sheets you explicitly connect. Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements.

10. Intellectual Property

The Service, including its design, code, scoring algorithms, and branding, is the property of MatchNApply LTD. You retain ownership of your campaign configurations and any original content you provide. Lead data retrieved from third-party platforms is subject to those platforms' terms.

11. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect access. We will provide reasonable notice for planned downtime.

12. Limitation of Liability

To the maximum extent permitted by law, MatchNApply LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless MatchNApply LTD and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

You may close your account at any time. We may suspend or terminate your account for violation of these Terms or for any reason with 30 days' notice. Upon termination, your right to use the Service ceases immediately. Campaign data is deleted 30 days after account closure.

15. Privacy and Cookies

Your use of the Service is also governed by our Privacy Policy and Cookie Policy.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice on the Service at least 30 days before they take effect. Continued use after changes constitutes acceptance.
